Corporate Tax Registration Deadline Review UAE
Review Your Corporate Tax Registration Obligations
UAE businesses and other taxable persons are required to consider their Corporate Tax registration obligations and comply with the deadlines prescribed under the UAE Corporate Tax framework. The applicable deadline depends on factors such as the entity's legal form, date of incorporation or establishment, licence details, residency status and, in certain cases, the date on which it becomes subject to Corporate Tax.
Missing a registration deadline may expose a business to administrative penalties and create additional compliance requirements. Similarly, entities that have ceased business activities or no longer meet the relevant requirements should review whether Corporate Tax deregistration is necessary.
Gupta Accountants provides Corporate Tax registration deadline review services to help businesses assess their applicable deadlines, identify possible delays and understand the actions required to address outstanding registration or deregistration matters.
Our review considers the organisation's circumstances and relevant FTA requirements, rather than relying on a single deadline for all businesses.
UAE Corporate Tax Registration Deadlines
The UAE Corporate Tax registration deadline is not the same for every business. The applicable timeline depends on the type of taxable person and the circumstances in which the business was established or became subject to Corporate Tax.
For ordinary UAE Corporate Tax registration, the key framework includes FTA Decision No. 3 of 2024, which specifies registration timelines for resident and non-resident juridical persons and natural persons. The FTA also provides separate requirements for Corporate Tax deregistration.
A deadline review should therefore establish the entity's category, relevant dates and current registration status before determining whether an application is overdue.
1. UAE Resident Juridical Persons
For a UAE resident juridical person incorporated, established or otherwise recognised before 1 March 2024, the original registration deadline was determined by the month in which its licence was issued, irrespective of the year of issue.
For entities established on or after 1 March 2024, the general deadline is three months from the date of incorporation, establishment or recognition in the UAE.
Where an entity has more than one licence, the earliest licence date is generally relevant to determining the applicable timeline.
2. UAE Resident Juridical Persons Without a Licence
A resident juridical person that did not hold a licence as at 1 March 2024 was generally required to apply within three months from the effective date of the relevant registration decision.
For a resident juridical person established on or after 1 March 2024, the registration deadline is generally three months from its date of establishment or recognition.
3. Non-Resident Juridical Persons
A foreign company may be required to register for UAE Corporate Tax if it has a Permanent Establishment in the UAE or a qualifying nexus in the country.
The applicable registration deadline depends on when the Permanent Establishment or nexus arose and whether it existed before or after 1 March 2024.
A review should consider the nature of the UAE activities, the date on which the relevant presence or nexus arose and any applicable double taxation agreement provisions.
4. Natural Persons Conducting Business Activities
Natural persons conducting business or business activities in the UAE are generally required to register where their relevant business turnover exceeds AED 1 million in a Gregorian calendar year.
The registration deadline depends on when the turnover threshold is exceeded and the applicable provisions of the FTA decision. Personal income such as qualifying employment income and personal investment income is not automatically treated as business turnover for this purpose.
Corporate Tax Deregistration Deadlines in the UAE
Corporate Tax deregistration is relevant when a registered taxable person ceases its business or business activities, is dissolved or liquidated, or otherwise becomes eligible to deregister under the applicable provisions.
Under FTA Decision No. 6 of 2023, the general deregistration application deadlines are:
Taxable person
General deregistration deadline
Natural person
Within 3 months from the date of cessation of the business or business activity
Juridical person
Within 3 months from the date the entity ceases to exist, business ceases, or dissolution or liquidation occurs
The FTA may require outstanding tax returns, Corporate Tax liabilities and administrative penalties to be addressed before approving deregistration. The date of cessation and the date of approval should not be assumed to be the same.
Situations That May Require a Deregistration Review
A review may be appropriate where a business has:
Cancelled its trade licence and closed its operations.
Entered into liquidation or bankruptcy proceedings.
Sold or transferred its business.
Merged with another entity.
Closed a UAE Permanent Establishment.
Changed its place of effective management and control.
Ceased all business activities subject to Corporate Tax.
Undergone a restructuring that may affect its registration status.
A company should not assume that cancelling its trade licence automatically cancels its Corporate Tax registration. A separate deregistration application may be required.
Corporate Tax Registration and Deregistration Penalties
Failure to comply with the applicable registration or deregistration requirements may result in administrative penalties.
Late Corporate Tax Registration Penalty
The administrative penalty for failure to submit a Corporate Tax registration application within the prescribed deadline is AED 10,000.
However, the FTA has introduced a Late Registration Penalty Waiver Initiative. A taxable person may qualify for the waiver if its first Corporate Tax Return is submitted within seven months from the end of its first Tax Period. Certain exempt persons required to register may qualify by submitting the relevant Annual Declaration within seven months from the end of their first financial year.
The initiative also covers certain persons who have not yet registered or who have already been charged the penalty, subject to the applicable conditions. Where the conditions are met, the waiver is applied automatically; a penalty already paid may be credited to the taxpayer's EmaraTax account, with a refund application available where appropriate.
Important: The seven-month period is a condition of the penalty waiver initiative. It does not replace the statutory registration deadline.
Late Corporate Tax Deregistration Penalty
Failure to submit a deregistration application within the prescribed three-month period may result in an administrative penalty. The FTA's Corporate Tax General Guide describes a penalty of AED 1,000, followed by AED 1,000 for each subsequent month or part of a month, subject to a maximum of AED 10,000.
The applicable penalty position should be checked against the legislation in force and the taxpayer's circumstances.
Our Corporate Tax Registration Deadline Review Services

1. Review of Corporate Tax Registration Applicability
We review the organisation's legal form, business activities, residency status and other relevant information to establish whether Corporate Tax registration is required.
2. Assessment of Applicable Registration Deadline
We identify the relevant registration timeline based on the entity's incorporation date, licence issue date, establishment details, Permanent Establishment or nexus date, or natural-person turnover threshold, as applicable.
3. Review of Existing FTA Registration Status
We examine the available Corporate Tax registration details and EmaraTax information to identify whether the entity has completed registration and whether any outstanding actions are apparent.
4. Identification of Late Registration Exposure
Where a deadline may have been missed, we assess the potential late-registration penalty exposure and consider whether the taxpayer may qualify for the Late Registration Penalty Waiver Initiative.
5. Corporate Tax Deregistration Deadline Review
We review whether a business that has ceased operations, been liquidated, merged or otherwise changed its circumstances should apply for Corporate Tax deregistration.
6. Review of Outstanding Tax Compliance
Before a deregistration application is prepared, we consider outstanding Corporate Tax returns, tax liabilities, penalties and other relevant compliance requirements.
7. Assistance with Registration and Deregistration Applications
Where required, we can assist with preparing relevant information and supporting documentation for Corporate Tax registration or deregistration applications through the applicable FTA procedures.
8. Compliance Gap Assessment
We identify potential missed deadlines, incomplete applications, documentation gaps and other matters requiring attention. Recommendations are based on the available records and the applicable requirements.
Corporate Tax Registration Deadline Review for Different Business Types
Different business structures may be subject to different registration requirements.
Mainland Companies
Mainland companies should review their incorporation and trade licence details, particularly where they were established before or after 1 March 2024. Businesses with multiple licences should also consider the earliest licence issuance date where relevant.
Free Zone Companies
Free zone companies are also within the UAE Corporate Tax registration framework. A Free Zone Person is not automatically exempt from registration simply because it operates in a free zone or may qualify for the 0% Corporate Tax rate on qualifying income.
Offshore Companies
Offshore and foreign entities should assess whether they are UAE resident for Corporate Tax purposes or have a UAE Permanent Establishment or nexus. The registration requirement and deadline depend on the relevant circumstances.
Foreign Companies with UAE Operations
Foreign companies operating in the UAE should review whether their local activities create a Permanent Establishment or other taxable nexus. The date on which the relevant presence arose may determine the registration deadline.
Sole Establishments and Individual Business Owners
Natural persons conducting business activities should review their annual business turnover and the applicable AED 1 million threshold. The registration deadline is generally 31 March of the year following the Gregorian calendar year in which the threshold is exceeded for resident natural persons.
Companies Under Liquidation or Closure
Companies undergoing liquidation or closure should review their Corporate Tax registration status, outstanding filing obligations and deregistration deadline. Licence cancellation alone should not be treated as confirmation that all tax obligations have ended.
Documents Required for a Corporate Tax Registration Deadline Review
The documents required depend on the entity's legal structure and the reason for the review. Commonly requested information includes:

Frequently Asked Questions – Corporate Tax Registration Deadline UAE
1. What is the deadline for UAE Corporate Tax registration?
There is no single deadline for all businesses. The deadline depends on the taxpayer's category and circumstances. Resident juridical persons established after 1 March 2024 generally have three months from incorporation, establishment or recognition to apply. Other timelines apply to pre-existing entities, non-resident juridical persons and natural persons.
2. What happens if a company misses its Corporate Tax registration deadline?
A late-registration administrative penalty of AED 10,000 may apply. However, certain taxpayers may qualify for the FTA's Late Registration Penalty Waiver Initiative if they meet the conditions for filing their first Tax Return or Annual Declaration within seven months from the end of the first relevant period.
3. Is the Corporate Tax registration deadline the same for mainland and free zone companies?
For resident juridical persons established in the UAE, the general registration timeline also applies to Free Zone Persons. A free zone company's potential eligibility for the 0% rate does not remove its registration obligations.
4. When must a newly established UAE company register for Corporate Tax?
A resident juridical person incorporated, established or otherwise recognised in the UAE on or after 1 March 2024 is generally required to submit its registration application within three months from its date of incorporation, establishment or recognition.
5. What is the Corporate Tax registration deadline for a foreign company?
The deadline depends on whether the foreign company has a UAE Permanent Establishment or nexus and when that status arose. For relevant non-resident juridical persons, the general timelines are six months from the date a Permanent Establishment arises or three months from the date a nexus is established.
6. What is the Corporate Tax registration threshold for individuals?
A natural person conducting business or business activities in the UAE is generally required to register where the relevant business turnover exceeds AED 1 million in a Gregorian calendar year. Different rules apply to resident and non-resident natural persons when determining the registration deadline.
7. What is the deadline for Corporate Tax deregistration?
A natural person generally has three months from the date of cessation of business or business activity to apply for deregistration. A juridical person generally has three months from the date it ceases to exist, its business ceases, or dissolution or liquidation occurs.
8. Does cancelling a trade licence automatically deregister a company from Corporate Tax?
No. Licence cancellation does not itself complete the Corporate Tax deregistration process. A separate application to the FTA may be required, together with the relevant supporting documents and settlement of outstanding tax obligations.
9. Can a company deregister if it has outstanding Corporate Tax returns?
The FTA may require the company to complete its outstanding tax compliance obligations, including filing relevant returns and settling Corporate Tax liabilities and administrative penalties, before approving deregistration.
10. Can Gupta Accountants review an already missed registration deadline?
Yes. Gupta Accountants can review the company's circumstances, identify the applicable registration deadline, assess potential penalty exposure and consider whether the Late Registration Penalty Waiver Initiative may be available.
11. How long does the FTA take to process a Corporate Tax deregistration application?
The FTA's current Corporate Tax deregistration service page states that a completed application is generally processed within 40 working days. Additional time may be required where the FTA requests further information.
Services
12. Does FTA Decision No. 12 of 2026 change ordinary Corporate Tax registration deadlines?
FTA Decision No. 12 of 2026 concerns registration and deregistration requirements for entities subject to the UAE Domestic Minimum Top-up Tax under the Pillar Two framework. It should not be confused with the ordinary Corporate Tax registration timelines under FTA Decision No. 3 of 2024.
